General
- Setfords Elect (the “Scheme”) is a commercial referral scheme designed to reward referrals of new candidate lawyers by existing suppliers.
- Setfords Law Ltd (the “Company”) retains absolute discretion over the operation, modification, suspension or termination of the Scheme at any time without notice. No liability is accepted in respect of any perceived loss of fees or expected fees or any other perceived loss or damage arising from any modification, suspension or cancellation of any aspect of the Scheme by the Company. The supplier agrees that they enjoy no contractual or legal rights in connection with the operation or existence of the Scheme at any time.
- Nothing in the operation or existence of the Scheme, or in these Terms & Conditions, is intended to create or does create any employment relationship, partnership, or agency between the Company and a supplier.
- Nothing in the operation or existence of the Scheme, or in these Terms & Conditions, is intended to vary, amend or affect any term of any agreement in force between the Company and the relevant supplier or any other agreement.
- Any fees paid pursuant to or arising in connection with the Scheme are intended to constitute and do constitute a commercial finder’s fee paid to the supplier and cannot be personal remuneration.
- Any fees paid pursuant to or arising in connection with the Scheme shall be paid gross of tax. The supplier is solely responsible for its own tax compliance and in receiving fees paid pursuant to or arising in connection with the Scheme the supplier fully indemnifies the Company in respect of any subsequent tax liability howsoever arising.

Operation of the Scheme
- For the purposes of these Terms and Conditions:
- “First Paid Bill” shall mean the first invoice in respect of Legal Fees generated by a New Consultant and paid to Setfords in full.
- “First Year Fees” shall mean the total Legal Fees (excluding VAT) generated by a New Consultant and received by Setfords during the first 12 months of the New Consultant’s consultancy agreement with Setfords.
- “Introduction” shall mean the introduction by an existing supplier of a new candidate lawyer (i.e. a lawyer who could potentially become a New Consultant) to Setfords and shall include the passing of contact details or a CV to Setfords, and/or otherwise putting Setfords in touch with a new candidate lawyer. For the avoidance of doubt, “Introduction” does not apply to candidate lawyers who Setfords were already aware of or had previously spoken to or independently contacted prior to the introduction by a supplier. “Introduced” and “Introducer” shall be construed accordingly.
- “Legal Fees” shall mean fees invoiced to clients and received by Setfords in respect of legal services provided on behalf of Setfords by a New Consultant.
- “New Consultant” shall mean a new candidate lawyer who is Introduced by a supplier and who within three months of the Introduction (1) signs a consultancy agreement with Setfords and (2) generates Legal Fees on behalf of Setfords which are received by Setfords from a client.
- Subject to the conditions set out in this clause, and these Terms & Conditions generally, following an Introduction of a New Consultant by a supplier the supplier shall receive:
- A referral fee of £1,000 in respect of a First Paid Bill.
- A referral payment equivalent to 5% of the First Year Fees received by Setfords. This referral payment is conditional on the relevant First Year Fees received by Setfords being greater than £50,000 (excluding VAT). Once the Legal Fees generated by the New Consultant within the first twelve months of their consultancy agreement and received by Setfords become greater than £50,000 (excluding VAT) the Introducing supplier will be permitted to invoice Setfords no more than once per calendar month, up to the 12-month anniversary of the New Consultant’s consultancy agreement with Setfords, the aggregate total of such invoices being an amount equivalent to no more than 5% of the First Year Fees (which the Introducing supplier can receive in incremental portions in each relevant month as applicable).
- Only one Introducer will be paid per New Consultant. In the event of a dispute over which supplier has been responsible for an Introduction of a New Consultant, the relevant suppliers will need to resolve such and communicate the identity of a single Introducer to Setfords before any payments are made.
- If any relevant billing is subsequently cancelled Setfords reserves the right to require repayment of any referral fee already paid.
